This "XT VIP Membership Agreement" ("this Agreement") is an agreement between the platform (also referred to as "Platform") and the user ("You") regarding your purchase of the Platform's membership products ("this Product"). By accessing, logging into the Platform (including the Platform's API, mobile applications, and other clients), purchasing this Product, or clicking the "I have read and agree" button, you confirm that you have read, understood, and accepted all the terms and conditions of this service agreement, as well as all the terms and conditions of the "User Agreement". If you do not agree to any terms or conditions of this Agreement and/or the "User Agreement", please stop accessing the Platform and don't purchase this Product. If you continue to access the Platform or purchase this Product, you are deemed to unconditionally agree to all the contents of this Agreement and the "User Agreement". This Agreement is written in Chinese. For the convenience of users, this Agreement may be translated into different languages. In case of any inconsistency between different language versions, the Chinese version will prevail.
- Scope and Application of the Agreement: This Agreement applies to your purchase of membership products on the Platform. This Agreement is a supplementary agreement to the "User Agreement". In case of any inconsistency between this Agreement and the "User Agreement", this Agreement shall prevail. For matters not explicitly stipulated in this Agreement, the "User Agreement" shall apply.
- Amendment of Agreement: The Platform reserves the right to modify or change this Agreement at its sole discretion at any time. Any and all modifications or changes to this Agreement will take effect immediately upon being posted on the Platform or sent to users. Therefore, your continued purchase of Platform products or use of Platform services signifies your acceptance of the revised Agreement and rules. If you do not agree to any modifications to this Agreement, please immediately stop purchasing the Platform's products or using its services.
- Voluntary Action: Your purchase of membership products on the Platform is a voluntary transaction made by you based on your own economic situation and after understanding the associated risks, and has no relation to the Platform or any third parties.
- Risk Warning: When purchasing the Platform's membership products, you may achieve high investment returns but also face significant investment risks. To help you better understand the risks, we provide the following risk warnings according to relevant laws, regulations, administrative rules, and national policies. Please read them carefully and thoroughly. The risks of purchasing membership products on the Platform include but are not limited to:
- Risk of Digital Assets: The digital asset market is new, unverified, and may not grow. Currently, digital assets are primarily used by speculators, with relatively little use in retail and commercial markets. Therefore, digital asset prices are volatile, which may adversely affect digital asset investments. The digital asset market does not have the price limits seen in the stock market, and trading is open 24 hours. Due to the limited chips in digital assets, prices are easily manipulated by market makers and influenced by various national regulatory policies, resulting in significant price fluctuations. You must understand and agree that you bear all economic losses caused by the nature of digital assets.
- Policy Risk: The trading of digital assets may be suspended or prohibited due to the formulation or modification of laws, regulations, and normative documents by various countries. You must understand and agree that you bear all economic losses caused by the suspension or prohibition of digital asset trading due to changes in national laws, regulations, and normative documents.
- Internet and Technical Risks: The Platform cannot guarantee that all information, programs, and texts contained on the Platform are completely secure and free from viruses, trojans, or other malicious programs. Logging in, purchasing Platform products, using any Platform services, or downloading and using any programs, information, data, etc., is your personal decision and you bear the risks and possible losses. Using internet-based trading systems also carries risks, including but not limited to software, hardware, and internet link failures. The Platform is not responsible for any distortions, delays, or link failures due to the reliability or availability of the internet.
- Force Majeure Risks: The Platform is not responsible for service unavailability or delays caused by maintenance of information network equipment, information network connection failures, computer, communication, or other system failures, power failures, hacker attacks, weather reasons, accidents, strikes, labor disputes, riots, uprisings, unrest, insufficient productivity or production materials, fires, floods, storms, explosions, wars, bank or other partner reasons, digital asset market crashes, government actions, orders from judicial or administrative authorities, or other events beyond the Platform's control or ability to control.
- Market Risk: The Platform does not guarantee the accuracy and applicability of market analysis and evaluations. Any information or advice obtained from introducers or other institutions and employees is beyond the Platform's control and not endorsed or guaranteed by the Platform. You bear all risks and consequences arising from such information.
- Risks of Account Blocking and Freezing: When a competent authority presents the necessary investigation documents requiring the Platform to cooperate with investigations into your accounts, assets, or transaction data on the Platform, or to take measures such as sealing, freezing, or transferring your accounts, the Platform will assist as required by the authority. You bear all responsibility for any privacy leaks, account inaccessibility, and losses resulting from such actions.
- Other Risks: Losses due to the following circumstances are borne by you:
- Losing your account, forgetting your password, improper operations, or incorrect investment decisions.
- Losses caused by others through malicious operations after you failed to exit online commissioning or hotkey operations promptly.
- Losses caused by commissioning others to conduct off-platform pledges and borrowing for you.
- Other unforeseen events and losses not caused by the Platform.
Special Reminder: You should manage risks independently, evaluate the investment value and risks of digital assets, and bear the risk of losing all investments. You should trade according to your economic conditions and risk tolerance and be aware of the risks associated with digital asset investments. The risk warning in this Agreement cannot reveal all risks of XT membership products. Please be aware that the market carries risks and investments should be made cautiously.
- Delays, Suspensions, and Deviations in the execution of XT membership services may occur due to network delays, computer system failures, and other force majeure factors. XT will make reasonable efforts to ensure, but not guarantee, the stable and effective operation of the XT membership service execution system. XT assumes no responsibility if the final execution result of XT membership services does not meet users' expectations due to the above factors.
- XT Membership Products are available to XT registered users, designed to provide users with digital asset value-added services. The pledged tokens after purchasing a membership are mainly invested in various stable assets such as leverage, lending, bonds, and earn rewards through proof-of-stake (PoS) mechanisms and platform rewards.
- Membership Product Introduction:
- Types: XT membership products are divided into Silver, Gold, Platinum, Diamond, and Legend members. Membership services provide differentiated privileges based on your current membership level. Membership levels can be upgraded, and services will be provided according to the latest membership level after the upgrade. For detailed membership rights, please refer to the membership website.
- Cancellation Rules: Members have the right to refuse the Platform's services after becoming a member and can apply to cancel membership services. However, you acknowledge and agree that membership services are digital virtual services and the membership fee is non-refundable once sold.
- Membership Rights Provisions:
- During the membership validity period, members can participate in activities organized by the Platform and enjoy various rights and value-added services provided by the Platform.
- After becoming a member, your membership rights will be credited in real-time. Members have the right to cancel membership services or terminate membership qualifications.
- Members who do not renew their membership after expiration cannot participate in activities organized by the Platform or enjoy various rights and value-added services provided by the Platform.
- The Platform has the right to adjust services for upgrading low-level members to high-level members based on market conditions and its operational strategy, as updated and displayed on the front-end of the page. Please refer to the content displayed on the front-end of the page.
- Notice Delivery: Any notice, consent, or other communication required or permitted under this Agreement shall be in writing and deemed delivered if meeting the following conditions:
- Sent via the XT Platform's internal message system.
- Sent via email or SMS; the sending time is considered the delivery time.
- Miscellaneous: This Agreement is in electronic form, and users must read and agree to all terms before proceeding. If any clause of this Agreement violates relevant laws and regulations, that clause will be deemed invalid. However, the invalidity of such a clause does not affect the validity of other clauses in this Agreement.
